With 1200+ lawyers, 300+ partners, 28 offices and 17 jurisdictions we are looking to expand our Private Equity  team, with the addition of a Investment Funds Senior Associate.

 

Key responsibilities

 

  • Advise on the structuring, formation, and promotion of various types of investment funds including private equity funds, venture capital funds, infrastructure funds, credit funds, real estate funds, and other alternative investment vehicles.
  • Assist clients with the negotiation and drafting of fund documentation such as limited partnership agreements, subscription agreements, investment management agreements and side letters.
  • Support fund managers with initial and on-going operational legal issues and advise on fund documentation, including carried interest and co-investment arrangements.
  • Advise institutional investors on fund investments and co-investments, including reviewing and reporting on fund documentation and negotiation of terms.
  • Work collaboratively with colleagues across different departments, including tax, regulatory, finance and corporate teams, as well as third-party service providers such as administrators and depositaries.
  • Keep abreast of market trends and regulatory changes that may impact clients' businesses or fund structures.
  • Develop strong client relationships by providing strategic advice tailored to their specific needs.
  • Contribute to business development activities for the firm's funds practice, and deliver internal training when required.
  • Provide advice and guidance, working closely alongside the firm's regulatory team. on regulatory compliance matters related to funds, including AIFMD, SFDR, SDR and the FCA rules.
  • Conduct legal research on complex issues relating to fund formation, marketing and operation in multiple jurisdictions.

 

Knowledge, skills and experience

 

  • A qualified Lawyer, ideally with 6+ PQE in advising on investment fund matters within a reputable law firm or financial institution.
  • Strong technical knowledge of the legal framework governing investment funds in the UK and other core funds jurisdictions, such as Luxembourg and the Channel Islands.
  • Good understanding of legal structures utilised by investment funds along with familiarity with tax considerations affecting such entities.
  • Excellent drafting skills with meticulous attention to detail.
  • Ability to understand complex structures and provide clear, commercial advice.
  • Exceptional communication skills, both written and verbal; capable of engaging effectively with clients at all levels.
  • Proactive approach to work; able to manage multiple priorities while maintaining high-quality standards.
