Funds Senior Associate

The opportunity for you

 

We’re looking for a Corporate Funds Associate to advise on the structuring, formation, and operation of some of the most sophisticated investment vehicles in the market. From private equity and venture capital funds to hedge funds and alternative investment platforms, you’ll work at the cutting edge of fund formation and strategy. This role puts you at the heart of high-value deals, collaborating with fund managers, institutional investors, and global stakeholders to deliver innovative solutions across multiple jurisdictions.

 

Key responsibilities

 

  • Advise on structuring, formation, and promotion of investment funds (private equity, venture capital, hedge funds, real estate, credit, and alternative vehicles).
  • Draft and negotiate fund documentation, including limited partnership agreements, subscription agreements, and side letters.
  • Support fund managers with operational legal issues, carried interest, and co-investment arrangements.
  • Advise institutional investors on fund investments and co-investments, including reviewing and negotiating terms.
  • Work closely with tax, regulatory, finance, and corporate teams, as well as third-party service providers.
  • Stay ahead of market trends and regulatory changes impacting fund structures.
  • Contribute to business development and deliver internal training when required.
  • Provide regulatory compliance advice (AIFMD, SFDR, SDR, FCA rules).
  • Conduct legal research on complex fund formation and marketing issues across multiple jurisdictions.

 

Knowledge, skills and experience

 

  • Qualified lawyer with ideally 4–6+ PQE in investment funds within a reputable law firm.
  • Strong technical knowledge of the legal framework governing investment funds.
  • Familiarity with fund structures and tax considerations.
  • Excellent drafting skills and attention to detail.
  • Ability to simplify complex structures and deliver clear, commercial advice.
  • Exceptional communication skills for engaging with clients at all levels.
  • Proactive and organized, able to manage multiple priorities while maintaining high standards.
